Terms of Service

Last updated: July 12, 2026 · Effective immediately upon your use of the Service.

Please read carefully. These Terms govern your access to and use of Pishik. By creating an account or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. Sections 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 18 (Governing Law & Dispute Resolution) limit our liability and affect your legal rights, including a waiver of class actions and jury trials.

1. Agreement & Parties

These Terms of Service ("Terms") form a legally binding agreement between you — and, if you use the Service on behalf of an organization, that organization (collectively, "you," "your," or "Customer") — and Pishik, the operator of the Service ("Pishik," "we," "us," or "our"). If you accept these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and "you" refers to that organization.

2. Definitions

"Service" means the Pishik website, application, APIs, and related services. "Workspace" means an isolated tenant environment for a Customer. "User" means an individual authorized by Customer to access a Workspace. "Reviewer" means a person who receives a review link by email and is not required to hold an account. "Customer Data" means information you submit to the Service, including document links, workflow configuration, reviewer details, and decisions. "Documents" means the files referenced by links you provide, which remain hosted by you or your third-party providers and are not stored by Pishik.

3. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current. You must notify us promptly of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account, whether or not you have notified us.

4. Early Access & the Service

The Service is currently offered on an invite-only beta / early-access basis. Beta features may be incomplete, may change, may not operate as described, and may be modified or discontinued at any time without notice. You acknowledge that you are using beta software and accept all associated risks. Beta participants additionally agree to the Beta Program Agreement, which is incorporated into these Terms by reference; in the event of a conflict regarding the beta program, the Beta Program Agreement controls. Pishik is a workflow and communication tool that routes contracts you designate through review steps you define; it does not create, negotiate, evaluate, or store your Documents.

5. Fees, Pricing & Changes

The Service is provided free of charge during the beta / early-access period; published pricing is "TBA." Pricing is subject to change at any time, in our sole discretion, with or without notice. We may introduce paid plans, usage limits, seat limits, or other charges at any time, and we may increase, add to, or otherwise modify any fees at any time. Early access is not a promise of perpetual free service, and no free-of-charge period creates any right to continued free access.

For Workspaces created during the beta, the transition to paid plans — including the decision window and the beta-exclusive Founding rate — is set out in §7 of the Beta Program Agreement, which governs that transition. Your continued use of the Service after any pricing or Terms change takes effect constitutes your acceptance of that change. If you do not agree to a change, your sole remedy is to stop using the Service.

6. Acceptable Use

You agree not to, and not to permit any User or third party to: (a) use the Service in violation of any law or regulation; (b) upload, link to, or transmit unlawful, infringing, defamatory, or malicious content; (c) send unsolicited or unlawful communications; (d) attempt to gain unauthorized access to the Service, other Workspaces, or any systems or networks; (e) probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure; (f) interfere with or disrupt the integrity or performance of the Service; (g) reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law; (h) resell, sublicense, or use the Service to build a competing product; or (i) use the Service to store or process data for which you lack all necessary rights and consents. We may investigate and take any action we deem appropriate for any suspected violation, including suspension or termination.

7. Your Content & Documents

As between you and Pishik, you retain all rights to your Customer Data. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service. You are solely responsible for your Customer Data and Documents, including their content, accuracy, legality, and your right to use them, and for obtaining all consents required to route them to Reviewers. Documents remain in your own storage (for example, SharePoint, OneDrive, or Google Drive); Pishik stores only links and workflow state and does not store, control, or back up your Documents. You are responsible for maintaining your own backups. We are not responsible for any loss, corruption, or unavailability of Customer Data or Documents.

8. Third-Party Services

The Service stores links to documents you host with third-party storage providers such as Microsoft SharePoint, OneDrive, or Google Drive; the Service does not access, copy, or store the documents themselves. Your use of those third-party services is governed by their terms, not ours. We do not control and are not responsible for third-party services, their availability, or any act or omission of a third-party provider. Links you provide, and the sharing permissions you configure with those providers, are used at your own risk.

9. Intellectual Property

The Service, including its software, design, logos, and the "Pishik" name and marks, is owned by Pishik and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved. You may not use our name, logos, or marks without our prior written permission. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to that processing.

Pishik is not a law firm, does not provide legal advice, and is not a substitute for the advice of a qualified attorney. The Service does not review, evaluate, validate, or guarantee the legality, sufficiency, enforceability, or completeness of any contract, document, approval, rejection, signature, or workflow. Any templates, statuses, or automated actions are provided for convenience only. You are solely responsible for the contracts you route, the reviewers you select, the decisions recorded, whether and how agreements are executed, and all legal and business consequences. You assume all risk arising from your use of the Service.

12. Disclaimers ("AS IS")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. PISHIK EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, PISHIK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT ANY EMAIL OR REVIEW LINK WILL BE DELIVERED, RECEIVED, OR ACTED UPON; THAT DATA WILL NOT BE LOST OR CORRUPTED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PISHIK OR ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUPPLIERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, CONTRACTS, DATA, OR USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PISHIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PISHIK'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU ACTUALLY PAID TO PISHIK FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH, DURING ANY FREE PERIOD, IS ZERO DOLLARS), OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE PARTIES AGREE THAT THIS LIMITATION IS A FUNDAMENTAL BASIS OF THE BARGAIN AND REFLECTS A REASONABLE ALLOCATION OF RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless Pishik and its owners, directors, employees, contractors, suppliers, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data or Documents; (b) your use of the Service; (c) your violation of these Terms or any law or regulation; (d) your violation of any third-party right, including intellectual-property, privacy, or contractual rights; or (e) any contract, approval, rejection, signature, or decision you route, record, or rely upon through the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.

15. Term, Suspension & Termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason or no reason, with or without notice, including if we believe you have violated these Terms or to protect the Service or other users. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including Sections 5, 7, 9, and 11–20 — will survive.

16. Changes to the Service & Terms

We may modify, add, or remove features of the Service, and we may modify these Terms, at any time in our sole discretion. If we make material changes to these Terms, we will take reasonable steps to notify you, such as posting the updated Terms with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

17. Data Retention, Export & Deletion

You may export your Customer Data from within the Service at any time and are responsible for maintaining your own backups. We may retain, delete, or anonymize Customer Data in accordance with our ordinary practices and applicable law, and we may delete data associated with terminated or long-inactive accounts. We are not obligated to retain Customer Data after termination and are not liable for any deletion of, or inability to access, Customer Data.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and, where applicable, the U.S. Federal Arbitration Act. You and Pishik agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for infringement or misuse of intellectual property.

Class-action and jury-trial waiver. To the maximum extent permitted by law, you and Pishik each waive any right to a trial by jury and any right to participate in a class, collective, or representative action. Disputes may be brought only in an individual capacity. Any claim must be brought within one (1) year after it arises, or it is permanently barred. If any part of this Section is found unenforceable, the remainder will continue to apply.

19. Force Majeure

Pishik will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or network failures, third-party service outages, or Internet disturbances.

20. General

Entire agreement. These Terms, the Privacy Policy, and (for beta participants) the Beta Program Agreement are the entire agreement between you and Pishik regarding the Service and supersede all prior agreements. Severability. If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary. No waiver. Our failure to enforce any provision is not a waiver. Assignment. You may not assign these Terms without our prior written consent; we may assign them freely. No third-party beneficiaries. These Terms create no third-party beneficiary rights. Notices. We may provide notices to you via the Service or the email associated with your account; you may contact us through our Support page (below). Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.
